GO BEYOND USING THIRD PARTY CHANNELS OF DISTRIBUTION AS A LOW COST EXPANSION METHOD TO TAKE ADVANTAGE OF CORPORATE EXPANSION FINANCING AND MERGERS AND ACQUISITIONS TO SPEED UP YOUR MARKET PENETRATION AND SATURATION AND DEVELOP HIGHER-REVENUE CORPORATE DISTRIBUTION POINTS.

For most companies, this tends to be a hit-and-miss proposition, because these are tasks performed from time to time, and not part of your standard business routine. Consequently, you are likely to waste time and resources on trial-and-error before you succeed -- if you ever get that far. We have a better alternative for you, a time-tested system for helping you with all of this:

  1. First, we help you develop a solid business plan. The particulars on how we make this a superior business plan may be found under Channel Strategy, Structure, Pro Forma, Business Plans, Valuations, Feasibility.
  2. Second, based on your business plan, we help you prepare a proposal for each particular target or kind of target (lender, investor, partner, seller, buyer). This will later be negotiated and modified and used as your memorandum of understanding or agreement in principle pending completion of due diligence and approval of councel. We'll help with the modifications, as well.
  3. Third, based on your proposal, we help you prepare a summary proposal or presentation that you will use as your first introduction to your target. Depending on the task, you may have one or more standard presentations and several minor variations of each to make each target seem special.
  4. Fourth, we will role-play and critique your presentation(s) and prepare and reherse the tactics that you will use in negotiations. Usually, this is accomplished during a couple of different sessions: once as part of familiarizing you with the presentation(s), and once ahead of each actual presentation (see task 9., below).
  5. Fifth, we will prepare a list of potential targets for your offer. We first search and sort our dateabase containing hundreds of lenders and investors to find those who most closely match your project. This is augmented with both secondary and primary research both to add to our list and and and to narrow down our list. Typically, we would want 10-30 names on the list. Then we mutually prioritize the list. (Of course, this list may be changed at any time.)
  6. Sixth, we prepare a direct mail piece that includes a cover letter with a short summary of your proposal and a target-specific version of the executive summary of your business plan and a follow-up telephone script to use when contacting targets. These may later be modified based on target reponses.
  7. Seventh, we send out one direct mail piece every day and follow up on the same within a few days. We make up to five follow-up calls during a two-week period before considering a target not interested. This process in continued until you are in serious negotiations with up to several candidates or the list has been exhausted.
  8. Eighth, we schedule conference calls with you and interested candidates. Sometimes, it may be better immediately to schedule a personal presentation. Occasionally, we may have to send your complete proposal or business plan ahead of any meeting or conference call.
  9. Ninth, we continue to prepare you for this presentation and any ensuing negotiations. (Reference task 4., above.)
  10. Tenth, we sit in on all serious negotiations, advise you, as needed, and help you modify your proposal.
  11. Eleventh, we perform any necessary due diligence investigations (see also Efficiency Audits > Due Diligence).
  12. Twelvth, we work with your attorney to finalize your agreements.
  13. Thirteenth, we assist you with the implementation of changes required by your agreements.
